1. ACCEPTANCE OF TERMS

1.1 Agreement to Terms

By creating an account, accessing, or using Snowie.ai ("Platform", "Service", "we", "us", or "our"), you ("User", "you", or "your") agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and all applicable laws and regulations.

1.2 Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Service. By using the Service, you represent and warrant that you meet these requirements.

1.3 Authority

If you are using the Service on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

1.4 Modifications

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms. It is your responsibility to review these Terms regularly.

1.5 Binding Agreement

These Terms constitute a legally binding agreement between you and Snowie.ai. If you do not agree to these Terms, you must immediately cease using the Service.

2. SERVICE DESCRIPTION

2.1 Platform Overview

Snowie.ai provides a white-label AI agent platform that enables users to create, customize, and deploy AI-powered voice agents for lead generation, customer service, and appointment booking purposes.

2.2 White-Label Nature

The Service is provided as white-label software, allowing users to rebrand and resell the platform under their own brand name to their clients ("End Clients").

2.3 Service Components

The Service includes but is not limited to:

• AI voice agent creation and management
• Widget customization and embedding
• Knowledge base functionality
• Integration capabilities with third-party services
• Analytics and reporting tools
• White-label customization features

2.4 Service Limitations

The Service is provided "as is" and may be subject to limitations, interruptions, or modifications at our sole discretion.

3. USER ACCOUNTS & SECURITY

3.1 Account Creation

To use the Service, you must create an account by providing accurate, complete, and current information. You agree to update your information promptly if it changes.

3.2 Account Security

You agree to:

• Create a strong, unique password
• Never share your password with any third party
• Enable two-factor authentication if available
• Immediately notify us of any unauthorized access or security breach
• Accept full responsibility for all activities that occur under your account

3.3 Password Protection

YOU ACKNOWLEDGE AND AGREE THAT ANY USE OF YOUR ACCOUNT, WHETHER AUTHORIZED OR UNAUTHORIZED BY YOU, IS YOUR SOLE RESPONSIBILITY. WE SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM YOUR FAILURE TO PROTECT YOUR ACCOUNT CREDENTIALS.

3.4 Account Suspension and Termination

We reserve the right to suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, illegal, or abusive behavior
• Non-payment of fees
• Security concerns
• Prohibited use of the Service

4. PAYMENT TERMS

4.1 Credit-Based System

The Service operates on a credit-based pricing system. Credits are consumed based on usage of AI agents, with pricing varying by conversation duration and complexity.

4.2 Subscription Plans

Certain features and services may be offered through subscription plans with recurring billing cycles (monthly or annual).

4.3 Payment Processing

All payments are processed securely through Stripe, a third-party payment processor. By using the Service, you agree to Stripe's Terms of Service and Privacy Policy.

4.5 Authorization

By providing payment information, you authorize us to charge your payment method for:

• Initial purchases
• Recurring subscription fees
• Auto-recharge amounts (if enabled)
• Any additional services you purchase

5. NO REFUND POLICY ⚠️

5.2 No Refunds for Credits

PURCHASED CREDITS ARE NON-REFUNDABLE, WHETHER USED OR UNUSED. ONCE CREDITS ARE PURCHASED, YOU ACKNOWLEDGE THAT NO REFUNDS WILL BE PROVIDED FOR ANY REASON, INCLUDING BUT NOT LIMITED TO:

• Change of mind
• Dissatisfaction with the Service
• Technical difficulties
• Underutilization of credits
• Business closure
• Change in business needs

5.3 No Refunds for Subscriptions

SUBSCRIPTION FEES ARE NON-REFUNDABLE. IF YOU CANCEL YOUR SUBSCRIPTION, YOU WILL NOT RECEIVE A REFUND FOR ANY UNUSED PORTION OF YOUR BILLING PERIOD. YOUR ACCESS WILL CONTINUE UNTIL THE END OF THE CURRENT BILLING CYCLE.

5.7 Exceptions

The only exception to this no-refund policy is in cases of proven billing errors caused solely by our system, which we will verify at our sole discretion. In such cases, we may provide a refund or credit adjustment.

5.8 Acknowledgment

BY USING THE SERVICE AND MAKING ANY PURCHASE, YOU ACKNOWLEDGE AND AGREE TO THIS NO REFUND POLICY. YOU WAIVE ANY RIGHT TO DISPUTE CHARGES OR REQUEST REFUNDS EXCEPT AS EXPLICITLY PROVIDED IN SECTION 5.7.

6. WHITE-LABEL LICENSE

6.1 Limited License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform to create, customize, and deploy AI agents under your own brand name.

6.2 White-Label Rights

You may:

• Use your own logo and branding
• Configure a custom domain
• Present the Service to your End Clients as your own product
• Resell the Service to End Clients

6.3 White-Label Restrictions

You may not:

• Claim ownership of the underlying Snowie.ai technology
• Reverse engineer, decompile, or disassemble the Platform
• Remove or alter any proprietary notices
• Sublicense the Platform beyond your End Clients
• Create competing products using our technology

6.4 Intellectual Property Ownership

SNOWIE.AI RETAINS ALL RIGHT, TITLE, AND INTEREST IN AND TO THE PLATFORM, INCLUDING ALL INTELLECTUAL PROPERTY RIGHTS. YOUR WHITE-LABEL LICENSE DOES NOT TRANSFER ANY OWNERSHIP RIGHTS.

7. PROHIBITED USES ⚠️

7.1 Illegal Activities

You may not use the Service for any illegal, unlawful, or criminal purposes, including but not limited to:

• Money laundering
• Fraud or financial crimes
• Identity theft
• Illegal gambling
• Drug trafficking
• Any violation of local, state, national, or international law

7.2 Harmful Activities

You may not use the Service to:

• Harass, abuse, threaten, or intimidate any person
• Promote violence or hatred
• Engage in cyberbullying
• Stalk or invade privacy
• Disseminate malware, viruses, or harmful code

7.4 Spam and Unsolicited Communications

You may not use the Service to:

• Send spam or bulk unsolicited messages
• Violate CAN-SPAM Act or similar regulations
• Conduct robocalling without proper consent
• Contact individuals on do-not-call lists

7.5 Prohibited Content

You may not create AI agents that produce or distribute:

• Adult, pornographic, or sexually explicit content
• Child sexual abuse material (CSAM)
• Content promoting terrorism or extremism
• Hate speech or discriminatory content
• Graphic violence or gore
• Self-harm or suicide promotion content

8. CLIENT DATA PROTECTION ⚠️

8.3 Confidentiality Obligations

You agree to maintain the confidentiality of all End Client data and End-User information. You may not:

• Disclose End Client data to third parties
• Use End Client data for your own purposes
• Share End-User information with competitors
• Sell or monetize End Client data

8.5 Legal Consequences

VIOLATION OF THESE CLIENT DATA PROTECTION PROVISIONS CONSTITUTES A MATERIAL BREACH OF THESE TERMS AND WILL RESULT IN:

• Immediate account termination without refund
• Legal action to recover damages
• Potential criminal prosecution
• Liability for all damages suffered by affected parties
• Liability for our legal fees and costs

9. DATA PROTECTION & PRIVACY

9.1 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our Privacy Policy.

9.4 Data Security

While we implement reasonable security measures, you acknowledge that:

• No system is completely secure
• We cannot guarantee absolute security
• You use the Service at your own risk

9.5 User Responsibility

You are responsible for:

• Protecting your own data
• Complying with applicable data protection laws (GDPR, CCPA, etc.)
• Obtaining necessary consents from End-Users
• Providing appropriate privacy notices
